
Terms and Conditions
TERMS AND CONDITIONS OF OYSTER WEB SEARCH ENGINE OPTIMISATION
Introduction - Search Engine Optimisation contracts are in accordance with the following terms and conditions, unless or until an alternative is specifically agreed between the Parties which supercedes these terms and conditions.
The Parties – Oyster Web is a trading name of Indicum Web Design, and will be referred to by the name Oyster Web for the purposes of these terms and conditions, herein. The party for whom work will be undertaken will be referred to herein as the Client.
Purpose of the Contract - The purpose of the Contract is to effect a programme of Search Engine Optimisation for the Client’s website.
Duration of the Contract - This search engine optimisation contract is to be carried out in accordance with the following conditions:
- The contract is for no fixed period. Oyster Web will undertake all work within a reasonable time.
- The Client may terminate or suspend the contract at any time, for any reason, upon payment of all outstanding balances.
- The Client may terminate or suspend the contract at any time in writing, immediately in the event that Oyster Web commit any material breach of the terms of this contract.
- Oyster Web may terminate or suspend this contract at any time, in writing, immediately in the event that the Client commits any material breach of the terms of this contract.
Fees- Fees for the contract will be as follows:
- Oyster Web and the Client will agree a fixed or capped fee for items of work to be undertaken. All work undertaken with no fixed price will be charged at £55 per hour, to the next quarter hour.
- Total: as agreed between the parties
- Where applicable, VAT will be added at the appropriate rate.
Invoices and Payment - Payments will be made as follows:
- Deposit payments are required up to the value of one month’s expected work, except where specifically agreed between Oyster Web and the Client.
- Oyster Web will invoice for the deposit payment upon verbal agreement of the sale of the deliverable service. Payment of any portion of the deposit invoice will be deemed to be acceptance of the terms of the contract as described herein.
- Work cannot begin on the site until funds have been cleared through the banking system from the payment of the full amount of the deposit.
- The Monthly Payments shall be invoiced for on a monthly basis hereafter, payment to be paid within 14 days. Payments should be made to "Indicium Web Design".
Taxation - Oyster Web shall be responsible for payment of any taxation and National Insurance or similar liabilities or contributions in respect of the fees paid for the execution of this contract. Oyster Web will indemnify the Client against all liability for the same and any costs, claims or expenses, including interest and penalties.
Confidentiality - Oyster Web will not divulge to third parties matters confidential to the Client (whether or not covered by this contract) without the explicit permission of the Client. Except where specifically agreed otherwise, all material, data, information, etc collected during the course of the contract will remain in the possession of the Client and not used without their permission.
Copyright/Intellectual Property Rights - Upon final balancing payment of this contract, the Client shall be assigned full ownership rights to any material or conceptual aspects of the Web Site authored by employees or subcontractors of Oyster Web, including but not limited to source code, text Content and Meta tag content. Upon transfer of ownership of content rights, the Client shall accept full responsibility for the whole content of the web site, and any grievances, arising as a result of this content, either in the United Kingdom, or any other countries, will be the sole responsibility of The Client.
Assignment - Neither the Client nor Oyster Web shall assign the burden of this contract without the other’s prior written consent , which should not to be unreasonably withheld.
CONTRACT ACCEPTANCE: Please note that any payment made in respect to the service is considered to be acceptance of these terms and conditions. Please ensure that you are familiar with the terms and conditions of service prior to payment.
